Terms and Conditions
Please be advised that the subsequent terms and conditions are applicable to all website design, search engine optimisation (SEO) services and other services provided by Eastleigh SEO Web Design and our affiliated parties to our esteemed clients. This agreement is established between Eastleigh SEO Web Design, hereinafter referred to as “we,” “us,” or “our,” and you, hereinafter referred to as the “Client” or “you.”
1. Acceptance
The full application of these terms and conditions does not require the Client’s signature. By accepting a quote, agreeing by email, or engaging in any form of contact or media, the Client will be deemed to have accepted these terms and conditions in full.
Please carefully read and understand these terms and conditions before purchasing or using our services. Your purchase or use of our services indicates that you have read and accepted these terms and conditions.
2. Fees and Charges
All fees and charges are non-refundable.
Charges for services provided by Eastleigh SEO Web Design are outlined in the project quotation, which the Client receives via email or another medium. Quotations are valid for a period of three months. Eastleigh SEO Web Design reserves the right to modify or decline the quotation after the expiration of three months.
Unless otherwise agreed with the Client, full advance payment is required for all website design and SEO services before work commences.
Ongoing payments are as outlined below.
Payment for initial web design and SEO services is due by bank transfer or any other agreed-upon method. Bank details are provided on invoices. The same bank details are valid for monthly standing orders for ongoing services.
Monthly maintenance/hosting packages are due by standing order. The Client is required to set up and pay standing orders within one month of the service going live, and then every consecutive month at the agreed date or before. If an invoice for outstanding or due payment is sent to the Client or requested by the Client, an additional £5 per month per outstanding invoice is payable as an administrative fee.
Fees for outstanding payments after one month of non-payment will include the agreed monthly payments, plus an additional £5 per month as a late payment fee. If you have any financial difficulties, please contact us as soon as possible.
Fees for outstanding payments after two months of non-payment will include the agreed monthly payments, plus an additional £25 per month as a late payment fee.
Fees for outstanding payments after three months of non-payment will include the agreed monthly payments, plus an additional £35 per month as a late payment fee. All services will be suspended.
If non-payment continues for more than three months, all services provided by Eastleigh SEO Web Design will be discontinued. Eastleigh SEO Web Design reserves the right to seek reimbursement for costs through a small claims court. The Client will be liable for all outstanding payments, legal fees, costs for collection by third-party agencies, and any other associated costs. If the Client wishes to continue with their services after three months of non-payment, all outstanding fees plus six months of normal fees will be required in advance.
Accounts that remain unpaid for thirty (30) days after the invoice date or agreed payment schedule will be considered in default. If the Client remains in default for four months after the payment is required, any information or files related to the default Client on Eastleigh SEO Web Design’s web space will be removed. Eastleigh SEO Web Design will not be liable for any loss of service resulting from the removal of such material. The removal of material does not relieve the Client of the obligation to pay any outstanding charges. The Client’s account will be considered in default until full payment is received. Clients with accounts in default agree to pay Eastleigh SEO Web Design reasonable expenses, including legal fees and costs for collection by third-party agencies, incurred in enforcing these Terms and Conditions.
As a small business, we rely on our Clients’ regular and timely payments, which helps us maintain competitive prices. We are friendly and understanding, so please reach out to us at the earliest opportunity if you have any difficulties.
3. Client Web Design Review
The Client may provide a brief describing how they would like their new website’s homepage and subsequent pages to look. Alternatively, the design will be based on the web designer’s research and expertise.
Font, colour, and layouts may be matched to the Client’s preferences. If any requirements involve fees for third-party services, Eastleigh SEO Web Design will discuss them with the Client before making any purchases. If specific fonts or layouts are unavailable, suitable alternatives will be sourced.
During the design phase, Eastleigh SEO Web Design will provide the Client with an opportunity to review the website’s appearance and content by emailing a link. The timeframe for the website design to be ready for preview varies based on individual projects. Once the overall website development project is completed, the new website will be considered accepted and approved by the Client, unless the Client notifies Eastleigh SEO Web Design otherwise within ten (10) days of the date the preview link is made available.
If the Client decides to change their mind or cancel our services at any point after the agreement has been made, whether prior to or after delivery, full payment is required, along with the remainder of the 12 month minimum contract fees plus three months of agreed website maintenance and/or service fees.
4. Web Design Turnaround Time and Content Control
Eastleigh SEO Web Design will install and publicly post or supply the Client’s website when the Client is satisfied with the overall website, or at a date agreed upon with the Client.
The primary contact for the website design will be delegated to aid Eastleigh SEO Web Design in progressing the project in a satisfactory and timely manner.
During the project, the Client will be required to provide website content, including text, images, video, and sound files where applicable.
The turnaround time to go live will be discussed with the Client. Please inform us if you have an urgent timeframe, as we may not be able to accommodate your needs.
5. Failure to provide the required website content:
To ensure efficiency, Eastleigh SEO Web Design requests that the Client provides all required information in advance. If progress cannot be made with the website due to the lack of necessary information, any agreed-upon timeframes will become void. The website design will proceed once the requested content has been received by us.
6. Initial Web Design and/or Web Service and/or SEO Payment
Invoices will be provided by email from Eastleigh SEO Web Design and must be paid by bank transfer or alternative agreed means before the project commences.
7. Ongoing monthly services:
Monthly hosting/maintenance and/or other packages are due by standing order. The Client is required to set up and pay standing orders within one month of the service going live or starting, and then every consecutive month on the agreed date or before. If an invoice for outstanding or due payment is sent to the Client or requested by the Client, an additional £5 per month per outstanding invoice will apply. Further fees will apply as outlined above [2].
The monthly service fee covers hosting, website maintenance, and minor website content changes, up to a maximum of one hour of work per month, or at Eastleigh SEO Web Design’s discretion. Any further significant structural or design work or an excessive number of update requests will incur additional fees per hour or priced per request.
8. Additional Expenses
The Client acknowledges and agrees to reimburse Eastleigh SEO Web Design for any supplementary expenses that may be necessary for the successful completion of the project. Such expenses may include, but are not limited to, the acquisition of additional software, special fonts, stock photos, or any other items incurring extra costs. In the event that additional resources or facilities are deemed necessary, Eastleigh SEO Web Design will engage in prior discussions with the Client to obtain consent before making any purchases. We will not acquire additional requirements without obtaining the Client’s agreement beforehand.
ADDITIONAL OR THIRD PARTY FUNCTIONALITIES BEYOND THE SCOPE OF WEB DESIGN:
The Client assumes full responsibility for any additional or third-party functionalities required in conjunction with the website design, beyond the initially agreed scope. It is essential to note that our involvement and liability for such functionalities extend solely to the website design itself, unless otherwise agreed upon in writing via email or other documented means prior to or during the web design or software installation process. We strongly emphasise that we charge fair and reasonable fees for web design services, and we cannot be held accountable for any undisclosed functionalities or unexpected costs. It is the Client’s responsibility to communicate and ensure that their requirements are clearly conveyed to us in writing. We will not assume any financial responsibility for third-party functionalities. If the acquisition of third-party functionalities incurs charges, it is the sole responsibility of the Client to cover those expenses.
9. Web Browsers
Eastleigh SEO Web Design endeavors to create websites that are compatible with the majority of visitors’ web browsers. Our websites are designed to function optimally with popular and current browsers, such as Firefox, Edge and Google Chrome, among others. However, it should be understood that Eastleigh SEO Web Design cannot guarantee seamless functionality across all browser software and different operating systems.
Eastleigh SEO Web Design cannot be held responsible for any display issues that may arise in new browser versions released subsequent to the completion and delivery of the website to the Client. Nonetheless, if the Client has opted for monthly maintenance services, any identified display issues will be promptly rectified upon notification from our team or a report submitted by the Client or a user. In cases where the Client has not subscribed to a monthly maintenance plan, we reserve the right to levy an hourly fee of £30 for any required corrections. Given the ever-evolving nature of technology, certain functionalities that were once effective may no longer function as intended.
10. Termination
The minimum duration of the contract is 12 months. If the Client wishes to terminate the services, they must provide a written or email notice through the designated contact mentioned above. The termination will take effect three months after the receipt of such notice. Please note that termination requests made via telephone will not be honoured. Following the initial notice of cancellation, the Client will receive an invoice for the remaining 12-month contract plus three months’ hosting and maintenance, which must be paid.
Any termination of services requires payment for three months in advance. For instance, if the monthly maintenance fee is £25, the termination fee will amount to £75.
During the minimum contract period of 12 months plus 3 months, the Client may still transfer services, provided that all fees and charges have been paid.
The Client acknowledges and agrees to the minimum 12-month contract, after which a three-month notice or an equivalent fee must be given to terminate or transfer their services and/or website.
If the Client has agreed to services and made a deposit or paid any costs, the termination clause remains in effect. Should the Client wish to cancel at any time, they will be required to pay three times the agreed monthly sum, along with any associated costs.
Theme licenses, plugin licenses, and software will not be transferred. Prior to the transfer of services to another provider, all plugins, software, proprietary elements and sensitive content will be removed from the client’s website.
The design credit is to be retained in the footer until the website is completely redesigned by another party.
11. Indemnity
The services provided by Eastleigh SEO Web Design are intended for lawful purposes exclusively. By utilising our service, you agree to indemnify and safeguard Eastleigh SEO Web Design against any claims arising from your utilisation of our services that may cause harm to you or any other party.
12. Copyright
The Client shall maintain the copyright ownership of any data, files, and graphic logos provided to Eastleigh SEO Web Design, while also granting Eastleigh SEO Web Design the necessary rights to publish and utilise said materials. It is the responsibility of the Client to acquire appropriate permission and rights for the use of any information or files that are copyrighted by a third party. Furthermore, the Client is accountable for granting Eastleigh SEO Web Design the requisite permission and rights to use such materials. The Client also agrees to indemnify and hold Eastleigh SEO Web Design harmless from any claims arising due to the Client’s negligence or failure to obtain proper copyright permissions. By engaging in a website design agreement with Eastleigh SEO Web Design, the Client assures that all necessary permissions and authorisations have been obtained.
Eastleigh SEO Web Design may request evidence of obtained permissions and authorisations for verification purposes.
13. Standard Media Delivery
Unless explicitly agreed upon with the Client via email, this Agreement assumes that all content will be furnished by the Client in an electronic format, either through email, file transfer, or existing website content. Eastleigh SEO Web Design will not accept physical copies of materials and shall not be held liable for any materials provided in such form.
14. Design Credit
A link to Eastleigh SEO Web Design will appear at the bottom of the Client’s website besides the websites copyright information. If a Client requests that the design credit is removed, a fee of £50 will be applied. The Client also agrees that the website developed for the Client may be presented in Eastleigh SEO Web Designs portfolio.
15. Access Requirements
In the event that the Client’s website is to be deployed on a third-party server, it is necessary for Eastleigh SEO Web Design to be provided with temporary read/write access to the Client’s storage directories, accessible through FTP (File Transfer Protocol). Additionally, depending on the unique requirements of the project, there may be a need to configure other resources on the server.
For search engine optimisation and/or website maintenance for websites not designed by us the Client agrees to give Eastleigh SEO Web Design;
- FTP and other back-end admin access to the website to make changes to the site for the purpose of onsite optimisation.
- Permission to communicate directly with your web designer and any third parties where necessary.
- Full access to existing website traffic statistics for analysis and tracking purposes. Otherwise, Eastleigh SEO Web Design will create analytics ourselves.
- Use of client’s logos, trademarks, images and content.
15a. Should full admin access be requested to the website dashboard by the client or third-party, we reserve the right to remove certain onboard software / accounts / API’s or anything else in our name for security reasons. We will not be held liable for any issues arising from client or third-party access. The client may be charged a fee for putting right any issues that arise from accessing the admin area. We take our clients security of their website seriously and advise against full admin access to protect the security and performance of the website. See also point 16.
16. Post-Placement Website Alterations
Eastleigh SEO Web Design cannot accept responsibility for any alterations caused by a third party occurring to the Client’s pages once installed. Such alterations include, but are not limited to additions, modifications or deletions.
17. Search Engine Optimisation
Client agrees to inform Eastleigh SEO Web Design of any prior SEO works made to their website. Client agrees not to engage any other persons, agency or otherwise to carry out SEO work while under the agreement with Eastleigh SEO Web Design.
Client agrees to make Eastleigh SEO Web Design aware of any updates or changes made on the website while under the agreement.
Eastleigh SEO Web Design will not be liable for any loss of search engine ranking position. Eastleigh SEO Web Design has no control over the policies and ranking algorithms of search engines with respect to the type of sites and/or content that they accept now or in the future.
The Client’s website may be excluded from any search engine or directory at any time at the sole discretion of the search engine or directory.
Due to ongoing changes in search engine ranking algorithms, competitiveness of some keywords/phrases, and other competitive factors, Eastleigh SEO Web Design does not guarantee No.1 positions or consistent top 10 positions or higher rankings for any particular keyword, phrase, or search term.
Eastleigh SEO Web Design engages in industry-accepted SEO as is currently known. The Client understands guarantees cannot be made for ranking position or how long SEO will take as this is down to search engines, directories and other third parties timescales to honour changes made. When Eastleigh SEO Web Design becomes aware of any changes to search engine algorithms, the necessary updates will be made to the Clients website where possible while under this agreement.
The Client understands occasionally, search engines will drop listings for no apparent reason. Rankings can fluctuate at any time because of ongoing changes in the ranking algorithm, SEO efforts made by competitors or both.
The Client understands that SEO alone cannot be held responsible for the success or failure of a website. The Client understands that they need to work as a partner with Eastleigh SEO Web Design, giving the necessary time and commitment and following advice/suggestions seriously and on time to make the SEO campaign a success.
18. Domain Names
Eastleigh SEO Web Design has the option to purchase or assume control of domain names on behalf of the Client. However, it is the Client’s responsibility to handle the payment and renewal of those domain names, unless the Client is enrolled in the monthly maintenance and hosting package, in which case Eastleigh SEO Web Design will assume that responsibility. It should be noted that any loss, cancellation, or other issues related to the domain maintained by the Client are not the responsibility of Eastleigh SEO Web Design.
19. Non-disclosure agreement
The Client hereby acknowledges and agrees not to engage in any form of public attack or criticism directed towards Eastleigh SEO Web Design, its employees, associates, or partners, whether during or after the agreement period. This includes refraining from making disparaging remarks on public forums, blogs, social networks, and other public platforms.
Furthermore, the Client commits to abstain from seeking SEO or web design advice from SEO forums, web design forums, blogs, community groups, or any social media platforms in a manner that could tarnish the reputation of Eastleigh SEO Web Design or its employees, associates, or partners. In the event of a breach of this non-disclosure agreement, the Client agrees to compensate Eastleigh SEO Web Design for any reasonable costs incurred as a result of such damages.
20. General
These Terms and Conditions prevail over any prior representations, understandings, or agreements. By entering into a project agreement with the Client and/or making an advance fee payment, the Client acknowledges and accepts these Terms and Conditions. Making an online payment and providing consent to commence services via email also constitutes acceptance of our terms and conditions.
21. Social Media Integration
Social Media integration is defined as using accepted coding to identify a clients website with their current social media platforms. Eastleigh SEO Web Design will not be liable for any social media issues that may result from this.
22. Governing Law
This Agreement shall be governed by English Law.
23. Liability
Eastleigh SEO Web Design hereby excludes itself, its Employees and or Agents from all and any liability from:
Loss or damage caused by any inaccuracy;
Loss or damage caused by omission;
Loss or damage caused by delay or error, whether the result of negligence or other cause in the production of the website;
Loss or damage to clients’ artwork/photos, supplied for the site. Immaterial whether the loss or damage results from negligence or otherwise.
The entire liability of Eastleigh SEO Web Design to the Client in respect of any claim whatsoever or breach of this Agreement, whether or not arising out of negligence, shall be limited to the charges paid for the Services under this Agreement in respect of which the breach has arisen.
24. Severability
In the event any one or more of the provisions of this Agreement shall be held to be invalid, illegal or unenforceable, the remaining provisions of this Agreement shall be unimpaired and the Agreement shall not be void for this reason alone. Such invalid, illegal or unenforceable provision shall be replaced by a mutually acceptable valid, legal and enforceable provision, which comes closest to the intention of the parties underlying the invalid.
